Welcome to Pro Realtors Digital Labs! These terms and conditions outline the rules and regulations for the use of Pro Realtors Digital Labs' Website and Services.

1. Terminology

The following terminology applies to these Terms of Service, Privacy Statement, and Disclaimer Notice: "Client", "You" and "Your" refers to you, the person log on this website and compliant to the Company's terms and conditions. "The Company", "Ourselves", "We", "Our" and "Us", refers to our Company. "Party", "Parties", or "Us", refers to both the Client and ourselves.

2. Services Provided

Pro Realtors Digital Labs is a digital agency providing website design, brand identity development, logo creation, social media management, digital marketing, and business collaterals. The scope, timelines, deliverables, and fees for any specific service will be governed by a separate Service Agreement signed between the Client and the Company prior to the commencement of work.

3. Intellectual Property Rights

Unless otherwise contracted, all design concepts, coding assets, graphics, and other deliverables created by Pro Realtors Digital Labs shall remain the property of the Company until full payment has been received. Upon final invoice settlement, full intellectual property and usage rights for the approved deliverables are transferred to the Client, while the Company retains the right to display the work in its agency portfolio.

4. Client Responsibilities

The Client agrees to provide timely feedback, assets (such as logos, images, copy), and approvals necessary for project progression. Delays in providing materials or feedback exceeding 14 calendar days may result in project rescheduling and additional fee adjustments.

5. Hyperlinking to our Content

The following organizations may link to our Website without prior written approval:

• Government agencies;
• Search engines;
• News organizations;
• Online directory distributors may link to our Website in the same manner as they hyperlink to the Websites of other listed businesses.

No use of Pro Realtors Digital Labs' logo or other artwork will be allowed for linking absent a trademark license agreement.

6. Liability Disclaimer

To the maximum extent permitted by applicable law, in no event shall Pro Realtors Digital Labs be liable for any indirect, special, incidental, consequential, or punitive damages, including but not limited to loss of profits, data loss, or business disruption arising from the use or inability to use our services or website.

7. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Sri Lanka, and you submit to the exclusive jurisdiction of the state and federal courts located therein for the resolution of any disputes.

8. Project-Specific Terms & Conditions

The following terms and conditions apply specifically to all client design, website development, branding, and marketing projects undertaken by Pro Realtors Digital Labs:

1. Communication: All project communication will be conducted via email for clear, formal documentation. Clients are responsible for ensuring the email address provided is accurate, active, and regularly monitored.
2. Project Initiation: Work on any project starts only after the initial non-refundable advance payment has been received and cleared by our bank.
3. Milestone Payments & Deliverables: All payments must follow the agreed milestone payment schedule. The completed website or deliverables will be launched in live mode or handed over only after all outstanding dues are fully settled.
4. Design Approval: Development and build phases will commence only after the client approves the initial sitemaps, layouts, or wireframes in writing. Design concepts must be approved before moving forward.
5. Changes & Revisions: Any design modifications or feature requests made after prototype or design approval may incur additional charges and will require a timeline and cost re-evaluation.
6. Client Responsiveness: If a client becomes unresponsive or fails to provide required materials/feedback for more than two consecutive weeks (14 days), the project may be paused. A project reactivation fee may be charged to resume work.
7. Content & Asset Responsibility: The client is solely responsible for ensuring they own the rights or permissions to all images, logos, copy, and materials provided to us. Pro Realtors Digital Labs is not liable for copyright issues or misuse of client-provided assets.
8. Hosting & Domain Renewals: Domain registration and web hosting renewals are billed annually at the provider's prevailing rates. Renewal fees must be paid in advance; hosting will not be renewed without prior payment.
9. Post-Launch Support: Any support, content updates, or additional design/code changes requested after the website launch or project sign-off are considered billable work at standard hourly or package rates.
10. Agreement Priority: These project-specific terms override any prior proposals, discussions, or informal agreements, unless explicitly stated otherwise in a signed contract.
